    Richmond Police issue warning against porch pirates as package thefts rise – 8News

    RICHMOND, Va. (WRIC) Consumers at home arent the only ones taking advantage of online shopping deals ahead of the holiday season. Package theft by porch pirates is an issue that has plagued the City of Richmond in the past, and now, officials say, theyre tracking a spike.

    Package thefts in the City of Richmond is not something new; we had a number of them last year. What were seeing this year is an uptick, Richmond Police Department Lt. David Naoroz said. I think some of that has to do with the fact that so many people are home because of the COVID lockdown.

    With more Richmond residents relying on online shopping to avoid in-person interaction and minimize the spread of the virus, Lt. Naoroz says the department is seeing an increase in package thefts earlier than in years past. Other than in July, officials say the number of reported package thefts has been above average since March. The spike coincides with Governor Ralph Northams Executive Orders closing schools and non-essential businesses statewide and banning public gatherings over a certain size.

    A number of retail organizations have boosted and advertised some of the package delivery starting this month, and it goes into the holiday seasons, Lt. Naoroz said. Thats typically where we see our uptick. We have had that uptick already happen, though.

    Richmond Police are concerned that as the holiday season approaches, an already above-average number of reported package thefts will continue to rise at a rate higher than in previous years.

    I think it is often an opportunity where somebody may be walking by and see it sitting there and maybe check their surroundings to see if somebodys watching, Lt. Naoroz said. Its everywhere.

    From residential areas around Virginia Commonwealth University (VCU), through The Fan District and to the West End, authorities say porch pirates can target anyone. But there are ways for residents to protect themselves from this theft.

    What were hoping is that neighbors talk to their neighbors and community groups and get out the word to people, Lt. Naoroz said. If you can have your packages delivered to a lock box some of the delivery services offer lock box services.

    Doorbell cameras are also an option.

    That will certainly notify you if somebodys up on the porch, but then it doesnt necessarily secure your package, Lt. Naoroz said. If any of that stuff is kind of witnessed or people see any of those suspicious activities, we really ask them to give us a call.

    Every day, Radnor Township Police Department first responders encounter individuals in need of assistance. No two emergencies are the same and neither are the individuals involved. This is especially true when it comes to individuals with Autism Spectrum Disorder (ASD).

    On Monday evening, Alex Mann, 20, of Malvern, offered an "Autism Awareness for First Responders" presentation to members of the Radnor Township Police Department Squad 4. Although all first responders are trained to react to a variety of emergency and crisis situations, the standard response is not always the appropriate response when interacting with individuals who have ASD. "Sirens, emergency lights and screaming can severely impact the sensory capacity of an autistic individual," said Mann.

    "Thanks to Mr. Mann, this program has allowed our officers to connect even closer with the community that they serve," said Radnor Township Superintendent of Police Christopher B. Flanagan. "We will offer this program to the entire Radnor Township Police Department over the next year and we will continue to deliver superior service to all members of our community including those living with disabilities."

    Mann has previously spoken before some 80 police departments sharing his experiences living with autism and educating first responders about the importance of communicating correctly with those members of the community living with ASD. Mann stressed the importance of understanding how those diagnosed with ASD may have difficulty communicating during emergencies and he reminded officers to be compassionate while encountering anyone in crisis.

    "If you've met one person with autism, you've met one person with autism," said Mann. Since the behaviors displayed by individuals with autism vary, the ASD disability is frequently referred to as a spectrum. Each diagnosis is different, and each person responds in a manner reflective of his/her unique placement on the spectrum.For people with ASD, learning to interact with first responders is critical for their own safety as well as the safety of everyone involved during an emergency. Likewise, it is essential for first responders to understand ASD and to respond efficiently during an emergency involving community members with ASD. "I want to make sure that everyone with autism remains safe, while equally I hope our law enforcement officers stay safe too," said Mann.

    New Bentayga - Summary

    Key to the new Bentayga is its strikingly dynamic look, which draws inspiration from the marques new design language, introduced by the third-generation Continental GT and all-new Flying Spur. The bold styling offers an imposing road presence, with every panel at the front of the car redesigned for a cleaner, modern look.

    The larger, assertive matrix grille is now more upright, while new, intelligent LED matrix headlamp technology includes the signature Bentley design inspired by cut crystal glassware. A more aggressive front bumper emphasises the performance characteristics of the car. Heated, wet-arm windscreen wipers are introduced for the first time, with 22 washer jets in each arm.

    At the rear, the new Bentayga has undergone a major transformation, with a total redesign of the rear surfaces including a new full-width tailgate with new encapsulated lamps, while the licence plate has been moved down into the bumper for a cleaner appearance. Wide, split tailpipes leave no doubt that this is a powerful performance car. A 20 mm increase to the rear track width brings dynamic benefit and repositions the wheels in their arches to improve the cars stance. The wheels themselves are a new design, unique to Bentayga.

    The Bentaygas highly praised interior has been significantly revised in the latest model. Among the major changes are a new centre fascia and steering wheel, new door trims and all-new seats now available with ventilation in the rear of the five-seat cabin option. Passengers in the rear also enjoy significantly more space, with legroom increased by up to 100 mm depending on configuration.

    A next generation infotainment system is integrated seamlessly into the handcrafted, Bentley wing dashboard design and features a 10.9-inch display screen with edge-to-edge graphics. The all-new digital display includes super high-resolution and dynamic graphics which are configurable to suit driver preferences.

    The latest hardware and software bring all-new navigation with satellite maps, online search and other features. Wireless Apple CarPlay is standard for the first time, alongside the existing wired system, along with Android Auto (market dependant). Rear seat occupants benefit from the introduction of a new, larger touchscreen remote control tablet, similar to that introduced in the all-new Flying Spur.

    Connectivity around the car has been significantly improved, with USB-C data ports and a wireless phone charger now standard. New Bentayga is now provided with an embedded SIM, as with the latest Continental GT models, meaning My Bentley connected car features no longer require customers to provide their own data connection. My Bentley in-car and remote services is a continually developing range of services available to customers through a dedicated app, available both on Apple iOS and Android mobile platforms.

    The luxurious interior can be further enhanced with the application of dark tint diamond brushed aluminium trim for the first time in a Bentley, as well as two straight-grained veneers new to Bentayga: Koa and Crown Cut Walnut. Mulliner Driving Specification adds a new quilting design, and micro piping detailing is a new option for the seats.

    Bentley Bentayga Defining The Luxury SUV Sector

    A New Exterior Design

    The exterior design of the new Bentayga has been completely refreshed to create an even more stylish and purposeful car, showcasing Bentleys new design language. Every panel at the front and rear of the car has been altered to give it a cleaner and more modern look but with no change to the cars coefficients of drag or lift.JP Gregory, Head of Exterior Design at Bentley Motors, comments: We spent a long time examining how to improve the proportions and character of the car. New Bentayga is still instantly recognisable as a Bentley but now has a much greater road presence.

    What we have achieved is a significant step forward. New Bentayga is a more self-confident looking SUV from whatever angle you look at the car. The prouder grill and higher, more focused elliptical headlights give a much more modern expression - a real statement of intent.

    A number of the intricate design details draw inspiration from the latest members of the Bentley family, including the third-generation Continental GT and the new Flying Spur limousine.

    Key to these is the new matrix grille. Larger and more upright than before, it allows the Bentaygas elegant bonnet to sweep down to the very edge of the chrome work. This gives the car a more dominant, upright profile and pushes the new LED matrix headlamps further apart, raising them 30mm higher.

    New elliptical headlamps are seen for the first time on a Bentley. They include the marques now-signature cut crystal design, which makes them appear to sparkle even when not lit. They now also illuminate with a contemporary wake-up sequence.

    In profile, the muscularity of the design is clearly visible. A new, longer vent is positioned above the sculpted power line on the side of the front wing, while the lower door mouldings are also completely new, alongside discreet V8 badging.

    A striking new 22-inch wheel design is available in two finishes, expanding the number of available wheel designs to five all of which are unique to Bentley. The dynamic stance of the car has been improved by adjusting the lateral position of the wheels in the arches, reducing the horizontal space between surface of the wheel and the edge of the arch at all four corners.

    Perhaps the most dramatic design changes have been reserved for the rear of the car, where the new Bentayga is radically different from its predecessor. In line with the Continental GT, it features elliptical tail lamps for the first time. The lattice pattern offers a unique jewellery-like appearance when illuminated, with a deep, three-dimensional glow. The lights also offer an animated welcome feature with a sweeping direction indicator.The lights feature within an all-new, full-width tailgate, resulting in a cleaner, more contemporary look. The licence plate has moved down into the bumper, allowing for prominent Bentley lettering above. Larger, oval-shaped split sport tailpipes echo the design of the rear lamps, while a new, longer roof spoiler gives new Bentayga a visually longer, more elegant profile and makes the whole car look more athletic.Two new colours are also added to the already extensive Bentayga palette Viridian, a dark shade of metallic green based on the colour of the EXP 10 Speed 6 concept car, and Patina a luxury-focused mid-tone off-white.The dynamic new looks are further accentuated with a breadth of individualisation possibilities, including the contemporary urban appeal of the Blackline Specification that replaces all exterior chrome with black versions.

    A Unique Cabin Reimagined

    The Bentaygas fine handcrafted cabin has been reimagined for the new model. Already universally acclaimed as the benchmark for luxury SUV interiors, new Bentayga now contains a modernised, unparalleled combination of luxury materials and exquisite, intricate craftsmanship.

    Bentley designers have created an even more relaxing environment for passengers, wherever they travel. Among the major changes to Bentaygas more contemporary interior are new door trims and steering wheel, plus a redesigned centre fascia and digital instrumentation cluster. These are complemented by new seats that further improve on the industry-recognised benchmark for seat comfort.

    Alongside from the more obvious changes to the centre console, seats and door trims, its the little features customers may not notice at first that add up to make the difference in new Bentayga.     A new centre fascia houses the latest-generation infotainment screen, enhancing the visual appeal and practicality of the class-leading Bentayga and sat within the famed Bentley wings design ethos across the dashboard.

    The central pair of traditional bullseye centre vents have been replaced by a sculptured single vent with a flowing chrome bezel, that sits above the main infotainment screen and integrates the Breitling clock into its form. A long pocket along the side of the centre console carries smaller items, such as a mobile phone, while a wireless inductive phone charger with signal booster is situated directly in front of the gear lever.

    Three versatile seating configurations are available in new Bentayga. Apart from the standard five-seat, an optional four-seat layout features two individual rear seats separated by a centre console. A three-row, seven-seat configuration offers the ultimate in practicality and flexibility.

    The five-seat Bentayga benefits from an all-new seat frame, which doubles the travel of the rear-seat recline angle. All the seats now have a more sculpted shape, especially around the shoulder area. New foam and cover designs are standard, while Contrast Stitching and Hand Cross Stitching deliver extra design detail. Seat micro piping is also available for the first time on Bentayga. The five-seat configuration now also has the option of rear-seat ventilation, previously available only on the four-seat cabin.

    The four-seat Bentayga benefits from a 30 mm increase in knee room in the upright seated position, with an improvement of almost 100 mm in the reclined position, helping to make luxury travel even more comfortable.A new quilting design is included in Mulliner Driving Specification cars, while customers can choose from eight sustainably-sourced veneers including two straight grained options new to Bentayga Koa and Crown Cut Walnut.

    Unique to new Bentayga, a stunning, dark tint diamond brushed aluminium finish trim is available as an option in a Bentley for the first time. Evoking the Bentley matrix grille design, this exquisite finish is produced via an intricate process of brushing the aluminium precisely, from multiple directions, to achieve a contemporary three-dimensional effect.

    Cutting-edge Infotainment

    Setting new standards in the sector for customer technology interfaces, the new Bentayga introduces a new, cutting-edge infotainment system. A bigger and brighter, high-resolution 10.9-inch touchscreen, with an anti-reflection and anti-glare coating and much improved touch functionality, now spans the entire width of the centre fascia for a more contemporary look.

    Content in the primary window can be selected either via hard keys beneath the screen, or from the main menu screen. A customisable dashboard can also be set up to show three favourites, such as phone, navigation or media.

    The advanced navigation system features free text, context-specific search entry, including an address or point of interest. Navigation is improved with a three-dimensional building display, satellite maps, content in the drivers next generation Head-Up Display and several other useful features. The Head-Up Display can now project traffic information, street and names and distance to destination too.

    As well as the usual array of media sources, wireless Apple CarPlay is now standard in the new Bentayga (in addition to the previous standard wired system), along with Android Auto for the first time in a Bentley. With a corresponding phone plugged in to one of the cars USB-C sockets, the central infotainment screen mirrors the smartphone display.

    The new Bentayga now has a fully digital drivers information panel similar to the Continental GT and new Flying Spur. The display brings a contemporary look to the cockpit, can be customised to the drivers requirements and features real-time lighting effects with elegant animations.

    The high-resolution screen can be viewed in either Classic or Expanded format. In Classic, the display shows the traditional two-dial design of speedometer and tachometer. In Expanded, the right dial is replaced with an area for maps and media information.

    The latest release of the My Bentley in-car and remote connected car services are available through the New Bentayga. In-car services now being delivered through an embedded SIM, as with the latest Continental GT, meaning online services no longer require a data connection from a customers mobile device.

    Essential features including real time traffic information and over-the-air map updates will be available to all customers in Bentley connected car markets. New connected features such as online music, green traffic light prediction, and local hazard information will become available depending on market.

The unit can control a range of functions, from rear seat heating and massage, to the media system and navigation, to mood lighting and window blinds.

    New Bentayga has a full suite of driver assistance systems and the very latest headlamp technology. This includes three automatic modes for low beam and a matrix system, which allows the customer to drive continuously on high beam without blinding other road users.

    Each matrix headlamp contains 82 powerful LEDs to improve functionality and road safety. They ingeniously allow the pool of light to be continuously shaped by automatically switching off certain LEDs to box out other road users.

    The three adaptive headlamp settings include Town mode, which operates below 30 mph and projects a short but wide beam, making it perfect for urban areas. Country mode is for travel between 30 and 60 mph and lifts the beam to a narrower field of light. Motorway mode further lifts the beam and intensifies the light to improve visibility.

    Visibility and convenience are further aided by new wet arm windscreen wipers, which include an array of 22 heated washer jets in each arm. The system means no distracting spray and dramatically improves the cleaning of the glass.

    New Bentayga continues to offer all the key features that made the original model such a hit, ranging from the practicality of a hands-free powered tailgate and refrigerated bottle cooler, to the safety-focused City Specification Pack and rear view camera.

    New Bentayga is powered by Bentleys proven 4.0-litre, 32-valve dual twin-scroll turbocharged V8 petrol engine, which combines immense power with impressive fuel economy.     Hole and gap filler; sandpaper; undercoat; painting equipment; drill; hole saw; spirit level; clamps; various screws; wall fixings; plastic packers; circular saw; jigsaw; tile adhesive; tile spacers; tile cutter; grout; silicone

    Have a plumber disconnect and remove existing laundry tub. Fill holes, gaps and cracks in wall with appropriate filler, and sand. If you need to move electrical or plumbing, do this first, then patch holes. Remove dust. Spot prime patches with undercoat.

    Work out cabinet sizes. Leave space for washer then fill remaining wall length with flat-pack cabinets, adjusting size of washer space to suit. Ensure there is a cabinet big enough for sink.

    Assemble and install cabinets. Cut holes in sink cabinet with a hole saw for plumbing pipes to go through. Adjust feet to be level, clamp together with fronts flush and screw together. Screw through cabinet backs into wall with a fixing to suit wall type.

    Install panels on either side of washer space for appliance cabinet. Make them level with each other and the front edge plumb. Use plastic packers under them to hold in place. Screw through cabinets to secure panel and fix other to wall.

    Cut benchtop using circular saw and fit. If corner its going into isnt square, cut benchtop end on an angle to fit. Use template that comes with sink to mark out hole for sink, then cut with jigsaw. Sit benchtop on cabinets. Screw up through cabinets into benchtop to secure.

    Tile splashback behind benchtop. Set out tiles to ensure there are no narrow cuts that will look ugly. Butter tile backs with adhesive and stick on wall, using spacers for even gaps. Make any cuts using a tile cutter. Let adhesive dry. Grout then apply silicone to gap between tiles and bench.

    Paint walls using a formula for wet areas to reduce risk of mould. Apply 2 coats. Let dry after each.

    Assemble and install slimline cabinet over dryer space, screwing into side panels. In gap where space has been widened, frame out and cover gap with a filler panel. Install door panels on cabinets, then attach handles.

    Install shelves and other wall accessories. You can use benchtop offcuts as shelves if you can drill holes and rebate 1 edge to fit over brackets. Have plumber connect the sink and tap.

    Drill pilot holes 20mm from 1 end of arms, then drill a 10mm hole all the way through.

    Apply 2 coats of matt varnish to all components before assembly. Allow to dry.

    Cut threaded rod to 210mm long with a hacksaw. Thread nuts, washers and timber arms over rod. Tighten nuts onto rod using a spanner. Start from the centre and work your way out with the rod left sticking out equally at both ends.

    Drill 10mm holes 10mm deep in the end blocks. Make the holes 30mm from 1 end. Also drill pilot holes for screws to join the ends to the back.

    Spread PVA glue on back, then screw 1 end piece to the back with 65mm screws.

    Squirt a dab of clear silicone into the hole in the end then insert rod into hole. Check the other end will sit over the rod then glue and screw the other end piece to the back.

    Attach drying rack to wall using fixings appropriate to your wall type.

    Use a circular saw to cut benchtop to suit width of washing machine opening. Measure at front and back in case the opening is not square.

    Cut the rebate using the circular saw. Finish the corner with a jigsaw for a neat finish.

    Predrill and screw one part of the drawer runners to rebates and the other part to the sides of the appliance cabinet panels. Position these parts so the front of the bench will be flush with the panels and level with the adjacent bench.

    Slide drawer runners together and check for fit. If the benchtop is tight or doesnt run smoothly you will have to trim the benchtop rebates slightly. Take the tiniest amount off each time and continually check for fit so you dont end up cutting off too much.

    When Walter Eisenhardt first saw the old Victorian-style home with a wraparound front porch on Martin Avenue in Bellmore, he knew he had to have it.

    "Im a hobby-level architectural historian, antique collector, and lover of old Victorian homes," said the 59-year-old retiree. "Instantly, I recognized it as an original Charles A. Frisch house, potentially a historic landmark for this area which, when the structure was built in 1910, was known as Smithville South."

    But the porchs true value became apparent after pandemic restrictions were imposed in March, offering Eisenhardt a way to interact with friends and neighbors at a safe distance in a world reeling from COVID-19.

    Cruise just about any Long Island neighborhood and you are likely to spot a few porches standing proud, looking out toward the street, and providing a gentle buffer between the privacy of the homes and the world outside.

    Originally designed to allow escape from hot, humid weather in the days before air conditioning, porches have taken on an increasingly social function in modern times.

    "Its easy to take them for granted," said Nancy Solomon, director of Long Island Traditions, a regional folk arts and preservation organization. "But porches in America have a long history of both serving purposefully and making a statement."

    "They allow people to keep an eye on the neighborhood or say hello without getting too close," Solomon explained. "They are perfect for dining, entertaining or relaxing outdoors while enjoying a cool evening breeze. They also serve as a transition space between indoors and out. If, for example, you arent acquainted with a visitor, you might hold a conversation on the porch rather than in your home."

    Indeed, porches have been a staple on the American homestead for well over a century. Whether designed for status or functionality, or both, they do make a statement while adding an elegant touch to a beautiful home.

    Eisenhardts porch was one such appendage designed by Frisch, a popular builder on Long Islands west end back in the early 1900s. In fact, Eisenhardt said, Frisch constructed a number of these builds right on High Hill Beach now Jones Beach before it became a state park.

    When he bought it in 2007, though, the house was really run down, Eisenhardt said. He had it declared a landmark home in 2016.

    "It was a shambles," he said, "but it had so much potential as a restoration project. Its a classic with high peaks, a stairway inside the front door, a big ball post at the base of the banister and that wonderful porch. Nothing says American home architecture like a beautiful front or wraparound porch."

    Although examples date to ancient Greece and Rome, front porches on Long Island trace their roots to trans-Atlantic traders, Solomon notes.

    "Many European settlers that came to the New World stopped first in the Caribbean and West Indies where they viewed front porches on typical homes," she said. "By the 1800s, porches had made their way up the Georgia coast, into South Carolina, and over to New Orleans. Following the Civil War, as we entered the Victorian Age, wraparounds grew prevalent throughout the country. Long Island proved to be a particular hot spot."

    With Victorian architecture, especially, most front porches wrapped around to the side and connected to the dining room. "People would finish their meals and exit from the dining room to the porch to relax in the cool evening breeze after eating," Eisenhardt explained. "The porch was an extension of the living space of the home. People probably spent more time on the porch than inside when the weather was enjoyable."

    Not surprisingly, some of the social importance of porches has faded in recent years with the advent of cellphones and the internet making daily person-to-person communication less vital. Still practicalities and niceties remain.

    Eisenhardt waters his front lawn from the porch as he gets a great perspective looking out into the yard. He also enjoys chatting up neighbors and passersby. "You can do that while still social distancing," he noted. "Thats a real plus these days."

    Depending on the type of porch, some consider it an attraction. "Nothing says relax more than a beautiful front porch," said Scott Bennett of Douglas Elliman Real Estate, Cutchogue. "They make you feel like this is a great place to enjoy watching the time go by."

    The size, style and functionality of any porch helps determine how much value it adds to your home, Bennett said. "Its hard to pin an exact dollar amount on any porch, but if in good shape, most prospective buyers should see it as a plus. Adding recessed lighting or even ceiling fans can be a nice touch if done tastefully," he said.

    Those whove lived in houses with porches are nostalgic about them.

    A single parent, Eisenhardt says his 13-year-old son, Harrison, practically grew up on the porch. "He spent time on our porch in his playpen and highchair," Eisenhardt said. "Now he reads, hangs out and shares dinner or lunch here. Its part of our everyday life, as is my having an occasional espresso on the porch in the morning, or glass of wine in the evening."

    Richard and Mary Clark, of Rockville Centre, like to entertain on their front porch.

    "We have a big wraparound and we serve a lot of meals on it," Mary said. "We hosted 40 friends and family for Thanksgiving last year. We put out drinks and adults enjoyed each others company while the kids played in the front yard where we all kept an eye on them. We have a couple of small tables where my son, Owen, age 22, enjoys having breakfast. We also have a big hydrangea bush growing along one side of the front railing. If I just need some quiet and want to be outside without being disturbed, I can enjoy a few peaceful minutes there."

    While porches made of composite materials tend to be nearly maintenance-free, it can be a labor of love to maintain a wooden porch. Still, when everything comes together, both homes and owners shine with pride.

    "I had an elderly woman walk past my house a few days ago," Eisenhardt said. "I was on the porch when she looked up: This is one of the nicest homes Ive ever seen in this neighborhood, she said."

    "I dont think its a coincidence that my porch restoration had just been completed."

    Porches can be in the front or back of the home and sometimes wrap around the side of the house. When located in the rear of the house, they are typically raised to the first or second level of the home. Front porches and side porches are generally covered. Many confuse them with decks, which are an extension of the home, usually uncovered and at the back of the house.

    Materials matter when it comes to porch maintenance, says Lou Pagnotti of Decks Unique in Commack, who performed most of the restoration for Eisenhardts Bellmore home and wraparound porch.

    Pressure-treated wood is least expensive," Pagnotti said. "Special woods like mahogany cost more, look terrific but hold up about the same in the long run. Both should last 20 to 30 years neither is likely to look new toward the end. Composite boards and spindles are more expensive than pressure treated but are very low maintenance and generally come with a significant warranty, often 25 years.

    For maintenance, experts suggest sweeping your porch clean as needed and waterproofing wood porches yearly. Avoid using a hose to clean unless overly dirty as moisture promotes rot. A full porch restoration is a big job that often entails bringing construction up to code. If you need to replace more than a few boards, it might be a good idea to consult a professional.

    In Porch.coms IPO filing, the home-services startup touts one of its core values: No Jerks/No Egos.

    But the nice guy approach has brought the firm to the brink of financial ruin, the filing shows. Unless its able to raise additional capital, the company will not have sufficient cash flows and liquidity to fund its planned business for the next 12 months.

    The disclosure, filed with the Securities and Exchange Commission Wednesday, was made ahead of Porchs merger with a blank-check company led by Abu Dhabi Investment Authority veterans Thomas Hennessy and Joseph Beck. The deal, announced in July, values Porch at $523 million. According to the IPO filing, Porch generated $77.6 million in revenue last year, up from $54.1 million in 2018.

    Founded in 2011, Porch sells software to home-services companies in exchange for data on homebuyers. It then sells additional home services, such as contractor services and TV and internet, to those clients.

    But the companys accountants have raised substantial doubt about the cash-strapped companys ability to stay in business, the filing shows. The Real Deal took a closer look at the 581-page prospectus to learn more; heres what we found:

    Accounting woes. Porch is not yet profitable. As of June 30, its balance sheet listed $3.9 million in cash, plus $46.4 million in assets and $63.2 million in debt. The company also had a total deficit of $263.5 million.

    Alarmingly, Porch also said that in preparing its 2019 financials, it identified a material weakness in its financial reporting. In particular, it lacked qualified personnel to prepare and review complex technical accounting issues. To remedy the situation, it hired a CFO in June and controller in July and is working with outside consultants.

    (More) about those losses. Porch sells software to 11,000 home-services companies. On average, it generated $556 per account during 2020s second quarter. In the first half of this year, Porchs revenue dropped 14.3 percent to $32.2 million. Its losses narrowed to $24.6 million, compared to $67.9 million during the first half of 2019.

    Whos in control. CEO Matt Ehrlichman will hold a 24.9 percent stake in the company after the deal closes, according to the filing. Hennessy, Beck and their partners will hold a combined 18.3 percent stake.

    Payday for Porch execs. Until February 2020, Ehrlichmans annual base pay was $1, but this year, it was bumped up to $420,000. In connection with the merger, he and Matthew Neagle, Porchs chief revenue officer, will also get one-time bonuses, ranging from $200,000 to $500,000 for Neagle and $500,000 to $1.5 million for Ehrlichman. Ehrlichman will also get one million shares of company stock that will vest based on those shares hitting certain price targets.

    Sweetening the deal. To get the merger done, Ehrlichman struck a deal with investor Valor Equity Capital, which agreed to approve the arrangement in exchange for $9.5 million in shares. Valor also demanded a caveat: Post-merger, if its stake is valued at less than $44.2 million, Ehrlichman will transfer additional shares to make up the difference. At closing, Ehrlichman agreed to pay Valor $4 million in cash.

    Selling Lowes. Home-improvement giant Lowes led Porchs $27.6 million Series A in 2014. But in May 2019, the retailer sold 16.1 million shares back to Ehrlichman for $0.25 a share, or just over $4 million.

    The IPO filing notes the price was below fair market value, and a check with Pitchbook shows that Porch shares had been priced at $8.66 in a 2018 funding round. For accounting reasons, the company was required to recognize the Lowes stock deal as a compensation expense of $33.2 million. According to Pitchbook, Porchs share price dropped after the Lowes deal. It closed a $20.62 million round in January that priced shares at $3.50.

    One more small problem. In the IPO filing, Porch said it plans to expand into insurance, as well as new home products and new locations, as part of its growth plan. Currently, Porch sells products and services in all 50 states. However, it is qualified to do business only in Washington, Texas and Delaware, the IPO filing said. Failure to get licensed could lead to fines, plus the company could be subject to back taxes and contract disputes in non-licensed jurisdictions.
