Shares of the home improvement chain closed 2 percent lower at $91.15 on the news, which highlights growing scrutiny of data security in the retail industry following a massive breach at Target Corp last year.
"If we confirm that a breach has occurred, we will make sure customers are notified immediately."
The statement came after security website KrebsonSecurity first reported that multiple banks had seen evidence that Home Depot may be the source of stolen credit and debit cards put up for sale on underground markets. Brian Krebs, who runs the website, could not be immediately reached for comment.
Krebs wrote on his website that his preliminary analysis indicated the problem could affect all of Home Depot's 2,200 stores in the United States. He said several banks he contacted believed the breach could extend back to April or May of this year.
"If that is accurate - and if even a majority of Home Depot stores were compromised - this breach could be many times larger than Target," Krebs wrote.
In the Target breach, which hit the retailer during the important year-end holiday shopping season, hackers stole at least 40 million payment card numbers and 70 million other pieces of customer data.
The incident cost the company hundreds of millions of dollars and prompted numerous investigations by attorneys general and congressional hearings and inquiries. In May, the company ousted its CEO, Gregg Steinhafel, who has now been replaced by former Wal-Mart Stores Inc executive Brian Cornell.
Numerous companies have come under the spotlight for potential breaches in recent months.
In some situations, companies that conduct investigations into data breaches may not be able to come to a definitive conclusion. For instance, Sears Holdings Corp said in February that an investigation into a possible data breach did not reveal conclusive information.
Retailers have been taking steps to better protect customer data.

NEW YORK (CBSNewYork) Home improvement giant Home Depot on Tuesday was investigating a potential credit card breach that some cyber security experts said could be massive.
As CBS 2s Matt Kozar reported, Home Depot has confirmed that it is working with investigators after reports that stolen debit and credit card information from its customers was being sold on the black market.
How many stores and customers were affected remained unknown Tuesday.
Its definitely a problem, and its a concern for me, said Home Depot shopper Judy Anderson. You know, it just makes you think twice before using a credit card.
Home Depot shoppers in Jersey City were unnerved by the potential data theft.
For everyday needs, we come to these stores, and we use credit cards, so if hackers get in their databases, obviously that concerns, said Home Depot shopper Avnish Choudhury.
In a statement, Home Depot senior manager for corporate communications Paula Drake said, Protecting our customers information is something we take extremely seriously, and we are aggressively gathering facts at this point while working to protect customers.
Reportedly, the hackers responsible for the apparent breach were European possibly Russian. Russian hackers have been targeting American business in retaliation for U.S. sanctions.

Home Depot Investigates Huge Potential Security Breach
(RNN) The hardware retail store Home Depot may be the latest U.S. security breach victim, where credit and debit card information went for sale on the internet's black cybersecurity market.
Home Depot has not confirmed the data breach, which was first reported Tuesday on the cybersecurity website Krebs on Security.
The report indicates that several banks reported to "suspicious activity" and that it could be the source of a massive new batch of stolen credit and debit cards. The information was found on cybercrime underground and law enforcement and banks began investigating.
There have been no reports on how many customers or stores have been affected by the breach.
The information was being sold on rescator.cc, an underground online store that reportedly moved two large batches of stolen information on Tuesday.
Krebs on Security confirmed with Home Depot spokeswoman Paula Drake that the company is investigating.
I can confirm we are looking into some unusual and we are working with our banking partners and law enforcement to investigate, Drake said in a statement to Krebs.
Drake would not confirm a breach, but said if one is confirmed, Home Depot would make sure customers are notified immediately.
Right now, for security reasons, it would be inappropriate for us to speculate further but we will provide further information as soon as possible, Drake said.
In screenshots provided from the rescator.ccwebsite by certified computer forensics and security consultant Blake Engels, batches of the stolen data are filed under the name American Sanctions.There are two batches under the "American Sanctions," and there is also a group of data under "European Sanctions." All of the batches are from the same release.

Spokeswoman Paula Drake said in a statement that the retail giant is "looking into some unusual activity" in collaboration with its banking partners and law enforcement officials.

Home Depot's investigation follows news of security breaches at other high-profile retailers. Last December, Target announced that the credit card information of millions of its customers had been stolen. The company's sales stumbled in the wake of the revelation, and Target has since saidthat the breach has so farcost the firm $146 million.
Home Depot has over 2,200 stores, most of which are in the United States. The retailer has 180 outposts in Canada and 107 stores in Mexico. Headquartered in Atlanta, the home improvement goods store is the fifth-largest retailer in the nation, according to a ranking by the National Retail Federation based on retailers' 2013 sales.
The company in August announced strong second-quarter earnings results, with a solid uptick in overall sales that was in part fueled by accelerating salesof big-ticket items such asappliances, windows and water heaters.

Home Depot investigating possible security breach
Cyber-security experts say a massive security breach at the Home Depot could be bigger than the one at Target earlier this year.
WISN 12 News has learned potentially every Home Depot in the country could be included in the hack.
Alex Holden, chief information security officer for Hold Security, which recently discovered more than a billion passwords had been compromised, said the breach may have started in late April or early May.
He and his colleagues said the same group of Russian and Ukrainian hackers suspected in the Target breach is behind the one at the Home Depot.
More than 40 million credit and debit cards were stolen late last year from Target stores.
Holden said the possible data breach at the Home Depot could be larger, and there's evidence the stolen information is already for sale on the black market.
"People should be taking a very close look at their credit card statement because if any fraudulent charges would appear to be on those cards -- maybe immediately or maybe over time," Holden said.
The Home Depot issued a statement Tuesday saying, "Protecting our customers' information is something we take extremely seriously, and we are aggressively gathering facts at this point while working to protect customers."
